Terms & Conditions

1. Introduction and Acceptance
These Terms and Conditions (“Terms”) form a legally binding agreement between you (“you”, “your”, or “User”) and Companions Technologies Private Limited, a company incorporated under the laws of India with its registered office at Old No. S-44, New No. 1, 35th Cross Street, Besant Nagar, Chennai – 600090, Tamil Nadu, India (“Companions”, “we”, “us”, or “our”).
These Terms govern your access to and use of the website located at www.companions.in, and any Companions mobile applications made available on the Apple App Store and Google Play Store, together with all related content, features, tools, and services offered on or through them (collectively, the “Platform”).
By accessing, browsing, registering on, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree with any part of these Terms, please do not use the Platform.
2. Definitions
“Platform” means the Companions website (www.companions.in) and any associated mobile applications, together with all content and functionality made available through them.
“Services” means the information, matching, and directory services made available through the Platform, including browsing care options, submitting care requirements, and being connected with Caregivers, and does not itself include the hands-on delivery of caregiving, nursing, medical, or home-care services.
“Family” or “Client” means any individual who uses the Platform to seek information about, or submit a requirement for, elder care or special child care services on behalf of themselves or a care recipient under their guardianship.
“Caregiver” means any individual who registers on the Platform to be listed in the Companions caregiver directory and considered for engagement by a Family.
“Care Recipient” means the elderly individual or child for whom care is being sought by a Family.
“Content” means all text, profiles, images, ratings, reviews, and other materials made available on the Platform, whether submitted by Companions, Families, or Caregivers.
“Service Agreements” means the separate, offline documents executed directly between Companions and a Family or Caregiver — namely the Client Service Agreement (signed by a Family before a caregiving engagement begins), the Caregiver/Nurse Application Form (signed by a Caregiver during onboarding, including their consent to background verification and reference checks), and the Service Closure Agreement (signed on conclusion of an engagement) — which together govern the actual terms of care delivery, caregiver engagement, fees, conduct, and closure, as further described in Section 8.
“Care Manager” means the Companions team member assigned as a Family's or Caregiver's day-to-day point of contact for an active engagement, as identified in the Client Service Agreement.
3. Eligibility
The Platform is intended for use by individuals who are at least 18 years of age and capable of entering into a legally binding contract under the Indian Contract Act, 1872. By using the Platform, you represent and warrant that you meet this requirement.
If you are submitting a requirement or registering on behalf of a Care Recipient (including an elderly parent/relative or a child) who is not able to use the Platform themselves, you confirm that you are their parent, legal guardian, or otherwise authorised to act on their behalf, and that you accept these Terms both for yourself and, where applicable, for the Care Recipient.
4. Nature of the Platform — Please Read Carefully
Companions is a technology and information platform, not a healthcare provider or staffing agency in the traditional sense. The Platform is designed to help Families understand elder care and special child care options and connect with Caregivers listed in our directory. Actual assessment, matching, background verification support, and the delivery of caregiving services are carried out by our operations team and, where applicable, by independently engaged Caregivers, under the terms of the separate Service Agreements referred to in Section 8.
No medical advice. Nothing on the Platform constitutes medical, psychiatric, nursing, or therapeutic advice. Content on the Platform (including blog articles, FAQs, and chatbot responses) is provided for general informational purposes only and must not be relied upon as a substitute for professional medical consultation.
Not for emergencies. The Platform is not designed or intended for use in medical or safety emergencies. If you or a Care Recipient is facing a medical emergency, please contact your local emergency services or nearest hospital immediately rather than using the Platform.
Independent verification. While we take reasonable steps to screen and verify Caregivers listed on the Platform (including through our internal Train-to-Hire and onboarding process), we cannot guarantee the conduct, skill, availability, or suitability of any Caregiver in every instance, and we encourage Families to conduct their own diligence, ask questions, and use their judgment before and during any engagement.
5. Registration and Accounts
5.1 Family / Client Accounts
Families may browse general content on the Platform without registering. To submit a care requirement or contact us for a matching consultation, you may be asked to provide basic contact details (such as your name, phone number, and email address) and information about your care requirement, including the age of the Care Recipient. You are responsible for ensuring that the information you provide is accurate and kept up to date.
5.2 Caregiver Accounts
Caregivers who wish to be listed on the Platform's directory must create a profile and provide accurate, complete, and current information, including identity, contact, experience, and certification details as requested during onboarding. By registering, a Caregiver:
confirms that all information and documents submitted are true, accurate, and not misleading;
consents to Companions carrying out reasonable background, reference, and identity verification checks as part of the onboarding and Train-to-Hire process;
agrees to maintain the confidentiality and security of any account credentials, and to notify Companions promptly of any unauthorised use of their account; and
agrees to conduct themselves professionally and lawfully in all interactions arranged through, or in connection with, the Platform.
Companions reserves the right to decline, suspend, or remove any Caregiver profile at its sole discretion, including where information provided is found to be false, incomplete, or where conduct concerns arise, whether before or after listing.
6. Acceptable Use of the Platform
When using the Platform, you agree that you will not:
provide false, misleading, or fraudulent information, including impersonating another person or misrepresenting your relationship to a Care Recipient;
use the Platform to solicit or advertise unrelated products, services, or employment opportunities;
attempt to circumvent, disable, or interfere with the security, verification, or matching features of the Platform;
scrape, copy, or systematically extract Caregiver or Family data from the Platform for purposes unrelated to a genuine care requirement;
upload or transmit any content that is unlawful, defamatory, obscene, harassing, or infringes the rights of any third party;
use the Platform in any way that could harm, disable, overburden, or impair its operation, or interfere with any other party's use of it; or
attempt to gain unauthorised access to any part of the Platform, other Users' accounts, or Companions' systems; or
arrange to pay a Caregiver directly, or otherwise bypass Companions, for a caregiving engagement sourced through the Platform while that engagement is active. Caregivers are not authorised to collect payment directly from Families for an active engagement; all payments must be made to Companions through official channels, as set out in the Client Service Agreement. This restriction does not apply once an engagement has been formally concluded through a Service Closure Agreement — see Section 8.
We may investigate and take appropriate action against anyone who, in our reasonable judgment, violates this Section, including removing content, suspending or terminating accounts, and reporting conduct to the relevant authorities where appropriate.
7. Caregiver Recruitment Enquiries
If you are a caregiving professional looking for employment or engagement opportunities, please use the dedicated caregiver registration flow on the Platform (or the Join Companions recruitment portal, where available) rather than the Family-facing enquiry forms. This helps us route your application correctly and respond to you faster. General enquiry forms intended for Families seeking care are not monitored for job applications, and job-seeker submissions made through those forms may not receive a response through that channel.
8. Relationship to the Service Agreements
These Terms govern your use of the Platform itself — browsing, submitting enquiries, registering a profile, and similar online activity. They do not, by themselves, create an engagement for caregiving services or a right to be matched with a Family or Caregiver.
Where a Family decides to proceed with engaging a Caregiver, the specific terms of that engagement — including scope of services, fees, payment schedule, duration, conduct expectations, confidentiality, liability, and cancellation or closure terms — are set out in the Client Service Agreement, which the Family signs separately from these Terms. A Caregiver's onboarding, verification consent, and conduct obligations are set out in the Caregiver/Nurse Application Form they complete during registration. On conclusion of an engagement, a Service Closure Agreement is signed confirming financial closure. In the event of any conflict between these Terms and a Service Agreement on matters of actual service delivery, the Service Agreement will govern.
Once an engagement has been formally concluded through a Service Closure Agreement, a Family may choose to independently and privately engage a Caregiver introduced through the Platform. In that case, consistent with the Service Closure Agreement, Companions has no continuing responsibility, obligation, or liability for that Caregiver's actions, conduct, or performance, and the engagement is undertaken entirely at the Family's own discretion and risk.
For day-to-day matters relating to an active engagement — including complaints, replacement requests, additional care tasks, or extra-expense approvals — please contact your assigned Care Manager directly, as this is the fastest way to resolve them. The Platform-level grievance process in Section 20 is intended for issues relating to the Platform itself (such as your account, listed Content, or personal data), rather than day-to-day service delivery.
9. Fees and Payments
As of the Effective Date, browsing the Platform and submitting a care requirement or caregiver application does not involve any payment made through the website or mobile application. Any consultation, service, placement, or engagement fees are discussed and collected offline, directly between you and Companions, and are governed by the applicable Service Agreement.
Where an engagement proceeds, all payments must be made directly to Companions through the official channels specified in your invoice (such as bank transfer). Caregivers are not authorised to collect payment directly from Families for an active engagement, and any direct financial transaction between a Family and a Caregiver during an active engagement is a breach of these Terms and the applicable Service Agreement, and may result in suspension of the relevant account and termination of the engagement, as further described in Sections 6 and 8.
If Companions introduces on-Platform payments, subscriptions, or in-app purchases in the future (for example, booking fees or premium directory features), those features will be governed by additional payment terms presented to you at the relevant time, and, where applicable, by the payment terms of the Apple App Store or Google Play Store as set out in Section 19.
10. Cancellations and Refunds
As no payments are currently processed through the Platform, cancellations and refunds relating to caregiving engagements are handled offline, through a call or in-person consultation with our team, and in accordance with the cancellation and refund terms set out in the applicable Service Agreement. If in-Platform payments are introduced in the future, this Section will be updated to reflect the applicable process, timelines, and any App Store/Play Store refund mechanisms that apply.
11. Intellectual Property
The Platform, including its design, layout, text, graphics, logos, the “Companions” name and marks, and all underlying software, is owned by or licensed to Companions and is protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use.
You may not copy, reproduce, republish, distribute, modify, create derivative works from, or otherwise exploit any part of the Platform or its Content without our prior written consent, except as permitted by applicable law.
Caregivers and Families retain ownership of any content they submit (such as profile information, photographs, or reviews), but by submitting it to the Platform, grant Companions a non-exclusive, royalty-free, worldwide licence to host, display, and use that content for the purpose of operating and promoting the Platform and its Services.
12. Third-Party Links and Services
The Platform may contain links to, or integrate with, third-party websites, tools, or services (for example, WhatsApp-based communication, maps, or payment providers, where applicable). Companions does not control and is not responsible for the content, policies, or practices of any third-party service. Your interactions with any third-party service are solely between you and that third party, and are subject to that third party's own terms and privacy policy.
13. Disclaimers
The Platform and all Content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability, to the maximum extent permitted by applicable law.
We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any Caregiver identified through the Platform will meet your specific requirements or expectations. Any reliance you place on Content or on a Caregiver match is at your own discretion and risk.
14. Limitation of Liability
To the maximum extent permitted by applicable law, Companions, its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, goodwill, or profits, arising out of or in connection with your use of, or inability to use, the Platform, or your engagement of, or interaction with, any Caregiver or Family, whether based on contract, tort, or any other legal theory, even if we have been advised of the possibility of such damages.
Nothing in these Terms is intended to exclude or limit liability that cannot be excluded or limited under applicable Indian law, including liability arising from our own gross negligence, wilful misconduct, or fraud. The actual delivery of caregiving services, and any liability arising specifically from the provision of care, is separately addressed in the applicable Service Agreement.
15. Indemnification
You agree to indemnify and hold harmless Companions, its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your breach of these Terms, your misuse of the Platform, or your violation of any applicable law or the rights of any third party.
16. Suspension and Termination
We may suspend or terminate your access to the Platform, in whole or in part, at any time and without prior notice, if we reasonably believe you have violated these Terms, engaged in conduct that is harmful to other Users or to Companions, or if required to do so by law. You may stop using the Platform, and request deletion of your account and associated personal data (subject to Section 17 of our Privacy Policy), at any time by writing to us at the contact details in Section 22.
Provisions of these Terms that by their nature should survive termination (including Sections 11, 13, 14, 15, 20, and 21) will continue to apply after your access to the Platform ends.
17. Changes to the Platform and These Terms
We may update, modify, or discontinue any part of the Platform, and may revise these Terms from time to time, to reflect changes in our Services, legal or regulatory requirements, or operational needs. Where changes are material, we will take reasonable steps to notify Users, such as posting a notice on the Platform or updating the “Last Updated” date above. Your continued use of the Platform after any revised Terms take effect constitutes your acceptance of the changes.
18. Governing Law and Dispute Resolution
These Terms, and the use of the Platform, are governed by the laws of India, and are intended to apply to Users across all states and union territories of India, including our current areas of operation in Tamil Nadu and Karnataka.
Before initiating any formal proceedings, we encourage you to first raise your concern with our team using the grievance process in Section 20, so that we can try to resolve it informally.
Any dispute, controversy, or claim arising out of or relating to these Terms, or your use of the Platform, that cannot be resolved informally shall first be referred to arbitration in Chennai, conducted by a sole arbitrator in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Chennai, Tamil Nadu, and the language of arbitration shall be English. Subject to the foregoing, the courts at Chennai, Tamil Nadu shall have exclusive jurisdiction over any matters not subject to arbitration, and either party may approach those courts for interim or emergency relief.
19. Additional Terms for Mobile Applications (Apple App Store & Google Play)
This Section applies only if you access the Platform through a Companions mobile application distributed via the Apple App Store or Google Play Store (each, an “App Store”), and supplements the Terms above.
19.1 Licence
Subject to your compliance with these Terms and the applicable Apple Media Services Terms or Google Play Terms of Service, Companions grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the application on an Apple-branded or Android device that you own or control, as permitted by the rules of the applicable App Store.
19.2 Acknowledgement Regarding App Store Providers
You acknowledge that these Terms are between you and Companions only, and not with Apple Inc. or Google LLC (each, a “Store Provider”). Companions, not the Store Provider, is solely responsible for the application and its content. To the extent required by an App Store's terms, each Store Provider and its subsidiaries are third-party beneficiaries of these Terms and will have the right to enforce them.
19.3 No Maintenance or Support Obligation on Store Providers
The Store Providers have no obligation to furnish any maintenance or support services for the application. In the event of any failure of the application to conform to any applicable warranty, you may notify the applicable Store Provider, and, to the extent permitted by its terms, the Store Provider's sole warranty obligation will be to refund the purchase price (if any) for the application.
19.4 Product Claims and Legal Compliance
Companions, not the Store Provider, is responsible for addressing any claims relating to the application, including product liability claims, claims that the application fails to conform to legal or regulatory requirements, and claims arising under consumer protection or similar legislation. You represent that you are not located in a country subject to a government embargo, and are not on any government list of prohibited or restricted parties, and that you will comply with all applicable export control and sanctions laws in your use of the application.
19.5 In-App Purchases and Subscriptions
If the application offers subscriptions or in-app purchases in the future, those purchases will be billed through, and are subject to the payment, refund, and cancellation terms of, the applicable App Store, in addition to Section 10 of these Terms.

In accordance with the Information Technology Act, 2000 and rules made thereunder, and applicable provisions of the Digital Personal Data Protection Act, 2023, we have designated the following person to address grievances relating to the Platform, including complaints about Content, conduct of other Users, or use of your personal data:

We will acknowledge and work to resolve grievances within a reasonable time, and in any event within the timelines prescribed by applicable law.
21. Miscellaneous
Entire Agreement. These Terms, together with our Privacy Policy and any applicable Service Agreement, constitute the entire agreement between you and Companions regarding your use of the Platform, and supersede any prior agreements on this subject.
Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, or by operation of law.
Force Majeure. Companions will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, acts of government, labour disputes, or failures of third-party infrastructure.
Notices. We may provide notices to you via the contact details you provide, through the Platform, or by posting on the website. You may send notices to us using the contact details in Section 22.
